Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Vendra Loque LLC dba alfred, a Wyoming limited liability company ("alfred," "we," "us," or "our"), governing your access to and use of the alfred mobile application, website at alfred.help, and all related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. Please read these Terms carefully before using alfred.

1. Eligibility

You must be at least 13 years of age (or the minimum digital consent age in your jurisdiction, such as 16 in certain EU member states) to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. The parent or legal guardian is responsible for the minor's use of the Service and compliance with these Terms.

2. Description of Service

alfred is an AI-powered product recommendation service. alfred analyzes publicly available product information, reviews, and specifications to generate personalized shopping recommendations based on criteria you provide, such as product category, brand preferences, budget, and priority attributes.

alfred is not a seller, retailer, or marketplace. We do not sell, ship, or fulfill any products. We do not process payments for product purchases. When you click a product link within alfred, you are redirected to a third-party retailer's website where any transaction occurs entirely between you and that retailer, subject to the retailer's own terms, conditions, and policies.

alfred earns revenue through affiliate commissions when users make qualifying purchases through affiliate links provided in the Service. This is disclosed transparently in our Affiliate Disclosure.

3. Account Registration and Security

3.1 Account Creation

Certain features of the Service require you to create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to maintain its accuracy. You may register using your email address or through supported third-party authentication providers (e.g., Google, Apple Sign-In).

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to immediately notify alfred at support@alfred.help of any unauthorized use of your account or any other breach of security. alfred will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

By You: You may delete your account at any time through the app settings or by contacting us at support@alfred.help. Upon deletion, we will remove your personal data in accordance with our Privacy Policy, subject to any legal retention requirements.

By alfred: We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your account has been inactive for an extended period. Where practical, we will provide advance notice and an opportunity to export your data before termination.

4. User Content

4.1 Your Content

"User Content" means any content you submit, post, or transmit through the Service, including search queries, reviews, ratings, feedback, saved preferences, and wish lists. You retain ownership of your User Content.

4.2 License Grant

By submitting User Content, you grant alfred a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, distribute, and display your User Content solely for the purposes of operating, improving, and promoting the Service. This license continues until you delete your User Content or your account, after which we will cease use within a commercially reasonable time, except as required for legal compliance or as part of anonymized, aggregated datasets.

4.3 Content Representations

You represent and warrant that you own or have the necessary rights and permissions to submit your User Content and to grant the license described above, and that your User Content does not violate any third-party rights (including intellectual property, privacy, or publicity rights) or applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Scrape, crawl, spider, or use any automated means to access the Service or extract data from it without our prior written consent.
• Attempt to manipulate, reverse-engineer, or interfere with alfred's recommendation algorithms, scoring systems, or ranking methodologies.
• Create multiple accounts for the purpose of manipulating recommendations, reviews, or any other Service feature.
• Submit false, misleading, or deceptive reviews, ratings, or feedback.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to other users' accounts, the Service's systems, or any connected networks.
• Use the Service for any commercial purpose not expressly authorized by alfred, including reselling Service access, affiliate link hijacking, or unauthorized affiliate arbitrage.
• Introduce viruses, malware, or other harmful code into the Service.
• Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Service.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these restrictions, including removing User Content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

6. Affiliate Links and Transparency

6.1 Affiliate Disclosure

alfred is a participant in the Amazon Services LLC Associates Program and other affiliate advertising programs. Product links within the Service contain affiliate tracking parameters. When you click a product link and make a qualifying purchase from a third-party retailer, alfred may earn a commission at no additional cost to you.

6.2 Recommendation Independence

alfred's product recommendations are generated based on your stated preferences, product quality, review analysis, and value assessment. Affiliate commission rates are used only as a tiebreaker when products are otherwise equally matched. Commission rates do not determine or override a product's ranking or recommendation score. 6.3 No Endorsement

Inclusion of a product in alfred's recommendations does not constitute an endorsement, guarantee, or warranty by alfred of that product's quality, safety, legality, or suitability for any particular purpose. Recommendations are algorithmically generated based on available data and your criteria. You are solely responsible for evaluating and making purchasing decisions.

7. Third-Party Websites and Services

The Service contains links to third-party websites, retailers, and services that are not owned or controlled by alfred. We have no control over, and assume no responsibility for, the content, privacy policies, practices, products, or services of any third-party websites or services.

When you click a product link and are redirected to a third-party retailer, your interaction with that retailer is governed solely by the retailer's terms of service and privacy policy. alfred is not a party to any transaction between you and a third-party retailer and bears no responsibility for the quality, safety, legality, or delivery of products purchased through third-party links.

You acknowledge and agree that alfred shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any third-party website or service.

8. Intellectual Property

8.1 alfred's Intellectual Property

The Service, including its design, features, functionality, code, algorithms, AI models, scoring methodologies, user interface, graphics, logos, trademarks, service marks, and all content created by alfred (collectively, "alfred IP"), is owned by or licensed to Vendra Loque LLC dba alfred and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Limited License

Subject to your compliance with these Terms, alfred grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include any right to modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any alfred IP, except as permitted by these Terms or applicable law.

8.3 Restrictions

You may not: (a) copy, modify, or create derivative works of the Service or any alfred IP; (b) reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service; (c) remove, alter, or obscure any copyright, trademark, or other proprietary notices; (d) use alfred's name, logo, or trademarks without prior written permission; or (e) use the Service or alfred IP for any purpose not expressly authorized by these Terms.

9. Disclaimers

To the fullest extent permitted by applicable law, alfred expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
• Accuracy of recommendations: alfred does not warrant that product recommendations will be accurate, complete, reliable, current, or error-free. Product information, pricing, availability, and reviews are sourced from third parties and may change without notice.
• Service availability: alfred does not warrant that the Service will be uninterrupted, timely, secure, or free from errors, bugs, viruses, or other harmful components.
• Third-party products: alfred does not warrant the quality, safety, legality, or suitability of any products recommended through the Service. Purchasing decisions are made at your own risk.
• Results: alfred does not warrant that the Service will meet your requirements or that the results obtained from using the Service will be accurate or reliable.

Some jurisdictions do not allow the exclusion of implied warranties, so some or all of the above exclusions may not apply to you. In such jurisdictions, alfred's warranties are limited to the maximum extent permitted by applicable law.

10. Limitation of Liability

Without limiting the foregoing, alfred's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total amount you have paid to alfred in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred United States dollars (US $100.00).

These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, warranty, or otherwise, and whether or not alfred has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, alfred's liability is limited to the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vendra Loque LLC dba alfred, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your User Content, including any claims that your User Content infringes or misappropriates any third-party intellectual property, privacy, or other rights.
• Any dispute between you and a third-party retailer arising from a purchase made through the Service.

alfred reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without alfred's prior written consent.

12. Governing Law

These Terms and any disputes arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 13 below, any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the personal jurisdiction of such courts.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact alfred at legal@alfred.help and attempt to resolve the dispute informally for at least thirty (30) days. During this informal resolution period, both parties will make good-faith efforts to resolve the dispute through negotiation.

13.2 Binding Arbitration (United States Users)

If the dispute is not resolved informally within the 30-day period, and you are a resident of the United States, you and alfred agree that any remaining dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in English and shall take place in Sheridan, Wyoming, or at another mutually agreed location, or via telephone or video conference if both parties agree.

The arbitrator shall have exclusive authority to resolve all disputes arising under, in connection with, or related to these Terms, including the scope, enforceability, and arbitrability of these provisions. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

13.3 EU and UK Users

If you are a consumer resident of the European Union or the United Kingdom, the mandatory arbitration and class action waiver provisions in Sections 13.2 and 14 do not apply to you. You retain the right to bring claims in the courts of your country of residence, and you are entitled to the protections of the mandatory consumer protection laws of your jurisdiction. EU residents may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.

14. Class Action Waiver

If for any reason a claim proceeds in court rather than in arbitration, you and alfred each waive any right to a jury trial. You agree that you may bring claims against alfred only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

This class action waiver does not apply to residents of the European Union or the United Kingdom, where this waiver is not enforceable under applicable consumer protection law.

15. Modifications to Terms

alfred reserves the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on our website and in the app.
• Update the "Last Updated" date at the top of these Terms.
• Send a notification to your registered email address or display a prominent notice within the app at least thirty (30) days before material changes take effect.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.

Non-material changes, such as typographical corrections or formatting updates, may take effect immediately upon posting.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Affiliate Disclosure, constitute the entire agreement between you and alfred regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Service.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16.3 Waiver

The failure of alfred to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of alfred.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without alfred's prior written consent. alfred may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

16.5 Force Majeure

alfred shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.

16.6 Notices

Notices to you may be sent to the email address associated with your account or displayed within the Service.
